Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and Tendry, LLC, a Delaware limited liability company (“HomeBase,” “we, ” “us,” or “our”), governing your use of the HomeBase website at homebaseapp.io and the HomeBase web application (together, the “Service”). By creating an account, accessing, or using the Service you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

We have written these Terms in plain English. Capitalized terms not defined inline have the meanings given in the Definitions section at the end. If anything is unclear, email legal@homebaseapp.io.

What HomeBase is

HomeBase helps homeowners track home maintenance services, providers, completion history, and costs. We may add, change, or remove features at any time. While the Service is in public beta we may make larger changes than we will once the product is more mature. The Service is a planning aid; it is not a substitute for professional inspection or licensed contractor advice.

Eligibility and your account

You must be at least thirteen years old to create an account, and you must have the legal capacity to enter into a binding contract where you live. You agree to provide accurate information when you sign up and to keep that information current. You are responsible for everything that happens on your account, including activity by anyone you allow to use it. You are responsible for keeping your password secure. If you suspect unauthorized access, change your password and contact hello@homebaseapp.io immediately. We may suspend access if we have a good-faith belief your account is being used in a way that violates these Terms or puts the Service or other users at risk.

Your content

You retain ownership of everything you put into HomeBase, including your home profile, services, providers, completion history, photos, receipts, forwarded emails, and notes (“Your Content”). You grant us a worldwide, non-exclusive, royalty-free license to host, store, copy, display, transmit, modify, and process Your Content solely as necessary to operate, secure, and improve the Service for you. This license ends when you delete the relevant content or your account, except for backups that age out on the schedule described in our Privacy Policy.

You represent that you have the rights necessary to upload Your Content and to grant the license above, and that Your Content does not violate any law or third-party right.

Our content and license to you

The Service, including the HomeBase software, brand, design, text, our service templates, our category taxonomy, our provider directory, and the look and feel of the application, is owned by HomeBase or our licensors and is protected by intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use. All rights not expressly granted are reserved.

Acceptable use

You agree not to:

  • Use the Service to violate any law, regulation, or third-party right, or to defame, harass, or harm anyone.
  • Reverse engineer, decompile, scrape, crawl, copy, or attempt to derive the source code of the Service, or bypass any access control or rate limit.
  • Upload viruses, malware, or other malicious code; probe or test the vulnerability of the Service except as expressly permitted by our Vulnerability Disclosure Policy.
  • Use the Service to send unsolicited communications or to use another user's account without permission.
  • Resell, sublicense, or commercially redistribute access to the Service without our prior written consent.
  • Use any data mining, robots, or similar automated tools to collect information from the Service.
  • Attempt to access accounts, data, or networks that you are not authorized to access.
  • Use the Service to train, fine-tune, or evaluate any artificial intelligence model using data scraped from HomeBase or other users.

Forwarded email and inbound content

The Service includes a feature that lets you forward invoices and receipts from your own email to a private HomeBase address. By forwarding email, you confirm that you are authorized to do so. We may apply size and rate limits, may reject messages that fail authentication checks, and may stop processing messages that we reasonably believe are abusive or unsafe. Details are on our Security page.

Third-party services and providers

HomeBase may surface information about third-party home service providers, may link to third-party websites, and may integrate with third-party services such as email and mapping providers. We do not endorse, guarantee, or accept responsibility for any third-party service or provider. If you engage a contractor through information you find on HomeBase, that engagement is between you and the contractor; you are responsible for verifying their licensing, insurance, qualifications, and pricing. Your use of any third-party service is governed by that service's own terms.

Pricing, fees, and free beta

HomeBase is free to use during our public beta. We expect to introduce paid plans in the future. If we do, we will give you clear notice before any fees apply to your account, and people who joined during the beta will be eligible for early-bird pricing as described at the time. Where paid plans exist:

  • Subscription fees are billed in advance on a recurring basis until you cancel.
  • All fees are exclusive of applicable taxes, which we may add at the rate required by law.
  • We will refund the unused portion of a current billing period if we materially decrease functionality, on a pro-rated basis. Otherwise, payments are non-refundable except where required by law.
  • You can cancel a paid plan at any time from account settings; cancellation stops future charges and takes effect at the end of the current billing period.

Cancellation and account deletion

You can delete your account at any time from your account settings. When you delete your account we remove your underlying records on the schedule described in the Privacy Policy. Some information may be retained for the limited periods described there, including in encrypted backups. You may also export your data before deleting; we strongly recommend doing so.

Suspension and termination by us

We may suspend or terminate your access to the Service if we reasonably believe you have violated these Terms, if your account is being used in a way that creates risk for the Service or other users, if continuing to provide the Service would expose us to legal liability, or if you fail to pay any amount due. Where it is reasonable to do so we will give you notice and an opportunity to fix the issue first. We may also discontinue the Service in whole or in part, with reasonable advance notice, and will give you a way to export your data before any such shutdown.

Service availability

We work hard to keep HomeBase available, but we do not promise uninterrupted service. Maintenance, bugs, network issues, vendor outages, and events beyond our reasonable control can cause downtime. Especially during the public beta, you should not rely on HomeBase as the only place you keep critical information about your home. We recommend periodically exporting your data.

Feedback

If you send us suggestions, ideas, or other feedback about the Service, we may use that feedback without obligation to you. You grant us a perpetual, irrevocable, royalty-free, worldwide license to use feedback for any purpose, including improving the Service. We will not publicly attribute feedback to you without your consent.

Copyright complaints (DMCA)

We respond to notices of alleged copyright infringement that comply with the US Digital Millennium Copyright Act. If you believe content on the Service infringes your copyright, send a notice to legal@homebaseapp.iothat includes: your physical or electronic signature; identification of the copyrighted work claimed to have been infringed; identification of the material that you claim is infringing and information reasonably sufficient to allow us to locate it; your contact information; a statement that you have a good-faith belief that the use is not authorized; and a statement, under penalty of perjury, that the information is accurate and that you are the rights holder or are authorized to act on the rights holder's behalf. We may terminate accounts of users who repeatedly infringe copyright.

Disclaimers

Except as expressly stated, the Service is provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranty arising from course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted or error-free, that maintenance suggestions or service frequencies will be correct for your specific home, that any third-party provider listed in the directory is licensed or insured, or that automated extraction of forwarded receipts will always be accurate. You are responsible for verifying any information that matters to you, and for hiring qualified professionals where appropriate. Some jurisdictions do not allow the exclusion of certain warranties; in those places the exclusions above apply only to the extent permitted by law.

Limitation of liability

To the fullest extent permitted by law, in no event will HomeBase, its affiliates, or its or their respective officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, business, data, goodwill, or substitute services, arising out of or related to these Terms or the Service, whether based on warranty, contract, tort (including negligence), statute, or any other legal theory, and whether or not we have been advised of the possibility of such damages.

Our total cumulative liability for any claim arising out of or related to these Terms or the Service will not exceed the greater of (a) one hundred US dollars or (b) the total amount you paid us in the twelve months immediately preceding the event giving rise to the claim. Some jurisdictions do not allow the exclusion or limitation of certain damages; in those places our liability is limited to the smallest amount permitted by law.

Indemnification

To the extent permitted by law, you will indemnify, defend, and hold harmless HomeBase from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to (a) Your Content, (b) your violation of these Terms, or (c) your violation of any law or third-party right. We will promptly notify you of any such claim, allow you to control the defense, and reasonably cooperate with you. We may participate with our own counsel at our expense. You may not settle a claim that imposes a non-monetary obligation on us without our written consent. This section does not apply to consumers to the extent prohibited by applicable law.

Dispute resolution and governing law

We hope to resolve any concern informally. Before filing a claim against us, you agree to first contact us at legal@homebaseapp.io and try in good faith to resolve the dispute. If we cannot resolve it within sixty days, either of us may take the dispute to court.

These Terms and any dispute arising out of or related to them or the Service are governed by the laws of the State of Delaware, without regard to conflict-of-law principles, and by applicable US federal law. The exclusive jurisdiction and venue for any dispute will be the state and federal courts located in Delaware, and each party consents to personal jurisdiction in those courts. Nothing in this section limits any right you have under the mandatory consumer protection laws of the place where you live.

No mandatory arbitration; no class-action waiver. We do not require you to arbitrate disputes, and we do not require you to waive your right to participate in a class action. You and we each retain all rights you would have in a court proceeding, including the right to a jury trial where available.

Changes to these Terms

We may update these Terms from time to time. If we make a material change we will notify you by email and update the “last updated” date at the top. The updated Terms become effective when posted, and your continued use of the Service after the effective date means you accept the updated Terms. If you do not agree, you should stop using the Service and may delete your account.

Miscellaneous

These Terms, together with the Privacy Policy and any other policy referenced in them, are the entire agreement between you and us regarding the Service. If any provision is held to be unenforceable, the remaining provisions remain in effect. Our failure to enforce any right is not a waiver of that right. You may not assign or transfer these Terms without our written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets, or to any affiliate. Notices to you may be sent to the email on your account. Notices to us must be sent to legal@homebaseapp.io. The Service is offered from the United States; if you use it from elsewhere, you are responsible for compliance with applicable local laws.

Definitions

Service means the HomeBase web application, the marketing site, our APIs, and any related products we offer that link to these Terms.

Your Content means the data you input into the Service, the files you upload, and the email you forward to your HomeBase address.

Sub-processor means a third-party vendor that processes data on our behalf to operate the Service. The current list is in our Privacy Policy.
